Terms of Service

Plain English summary:Use NooAccountant for legitimate business purposes. Don't abuse our systems. Pay your subscription on time. We'll provide the services as described. Desktop licenses are permanent once purchased.

1. Acceptance of Terms

By creating an account or downloading NooAccountant Desktop, you agree to these Terms of Service. If you are using NooAccountant on behalf of a business, you represent that you have authority to bind that business to these terms. These terms apply to both NooAccountant Online (subscription) and NooAccountant Desktop (one-time purchase). Additional terms may apply to specific features or integrations.

2. NooAccountant Online — Subscription Terms

Online subscriptions are billed monthly or annually in advance. Subscriptions automatically renew unless canceled before the renewal date. You may cancel at any time from your account settings. Upon cancellation, you retain access until the end of your current billing period. We do not provide prorated refunds for mid-period cancellations except in cases of material service failure. We reserve the right to change subscription pricing with 60 days notice. Existing subscribers will be notified by email.

3. NooAccountant Desktop — License Terms

Desktop licenses are perpetual (one-time purchase) licenses to use the software version purchased. Standard licenses include 12 months of updates; Pro and Enterprise licenses include lifetime updates. Your license is personal or organizational (based on tier) and may not be resold, transferred, or sublicensed. The license grants you the right to install and use the software on the number of computers specified in your tier. Desktop licenses do not expire. After the update period, the software continues to function — you simply will not receive new feature updates without purchasing an update package.

4. Acceptable Use

NooAccountant may be used only for lawful business purposes. You agree not to: use the service for money laundering, tax fraud, or other illegal financial activities; attempt to access other users' accounts or data; reverse engineer or decompile the software; use the service to harm, threaten, or harass others; or upload malicious code. We reserve the right to suspend accounts that violate these terms, with notice where possible except in cases of serious violations.

5. Your Financial Data

You retain full ownership of all financial data you enter into NooAccountant. We do not claim any rights to your data. We process your data solely to provide the services you requested. You are responsible for the accuracy of data entered into NooAccountant. NooAccountant is an accounting tool; it is not a substitute for professional accounting, tax, or legal advice. For complex matters, consult a qualified professional.

6. Service Availability

NooAccountant Online targets 99.9% uptime, calculated monthly. We will notify customers of planned maintenance windows with at least 48 hours notice. In the event of extended outages (>4 hours consecutive), we will issue service credits at 10× the downtime value relative to your monthly subscription. NooAccountant Desktop does not depend on our servers and will continue to function regardless of cloud service status.

7. Limitation of Liability

To the maximum extent permitted by law, NooAccountant Inc. shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the service. Our total liability for any claim shall not exceed the greater of (a) the amount paid by you in the 12 months preceding the claim, or (b) $500. This does not limit our liability for fraud, gross negligence, or personal injury.

8. Dispute Resolution

For disputes under $10,000, you and NooAccountant agree to attempt informal resolution first (contact legal@nooaccountant.com). If unresolved within 30 days, disputes will be resolved by binding arbitration in San Francisco, CA under AAA Commercial Rules. Class action waivers apply. You may opt out of arbitration within 30 days of first accepting these terms by emailing legal@nooaccountant.com.

9. Governing Law

These terms are governed by the laws of the State of California, without regard to conflict of law provisions. The courts of San Francisco County, California have exclusive jurisdiction for any matters not subject to arbitration.

10. Changes to Terms

We may update these terms with 30 days notice for material changes, delivered by email and in-app notification. Continued use after the effective date constitutes acceptance. For significant changes, we will request explicit acceptance before proceeding.
